Terms of Service

Welcome to Social Schedule. These Terms of Service ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Social Schedule("we", "us", "our", or the "Service") and govern your access to and use of our website, applications, APIs, and related services (collectively, the "Service"). Please read these Terms carefully before using the Service.

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. About Social Schedule

Social Schedule is a social media management platform that allows individuals, businesses, creators, and agencies to connect their social media accounts, create and schedule content, publish posts across multiple platforms, manage advertising campaigns, monitor analytics, collaborate with team members, and manage brand assets. The Service currently integrates with third-party platforms including, but not limited to, Facebook, Instagram, TikTok, Facebook Ads, and TikTok Ads(each a "Third-Party Platform").

2. Eligibility

To use the Service, you must:

  • Be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher).
  • Have the legal capacity to enter into a binding contract.
  • Not be barred from using the Service under applicable laws.
  • Comply with all terms, policies, and community standards of any Third-Party Platform you connect to the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" include that organization.

3. Account Registration and Security

3.1 Account creation

To access most features, you must create an account by providing accurate, current, and complete information including your name, email address, and password, or by authenticating via a supported single sign-on provider (such as Google). You must update your account information to keep it accurate.

3.2 Account security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at jomedeveloper@gmail.com if you suspect unauthorized access or any breach of security. We are not liable for any loss or damage resulting from your failure to protect your credentials.

3.3 Team and agency accounts

If you use the Service as part of an agency or multi-user workspace, the owner of the workspace is responsible for managing member access, roles, and permissions. Members must comply with these Terms, and the workspace owner is responsible for their conduct.

4. Connecting Third-Party Platforms

The Service lets you connect social media accounts through the authorization (OAuth) flows provided by each Third-Party Platform. When you connect an account you authorize us to access, use, store, and transmit data from that account on your behalf, solely for the purpose of providing the Service.

  • Facebook & Instagram: Our use of information received from Meta APIs adheres to the Meta Platform Terms and Developer Policies, including the Limited Use requirements.
  • TikTok: Our use of information received from the TikTok API adheres to the TikTok API Terms of Service and Developer Terms of Service.
  • You remain responsible for ensuring that your use of any Third-Party Platform through the Service complies with that platform's own terms, community guidelines, advertising policies, and content restrictions.
  • You may disconnect a Third-Party Platform at any time from your account settings. Upon disconnection we will revoke stored credentials and stop accessing data from that account, subject to standard retention periods described in our Privacy Policy.

5. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes. We reserve all rights not expressly granted to you.

6. Your Content

6.1 Ownership

You retain all rights in and to the content (including text, images, video, audio, graphics, and other materials) that you upload, create, schedule, or publish through the Service ("User Content"). We do not claim ownership over your User Content.

6.2 License to us

You grant Social Schedulea worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, adapt, transmit, display, and distribute your User Content solely to the extent necessary to operate and provide the Service to you—for example, to store drafts, transcode media, schedule posts, publish to Third-Party Platforms, and generate analytics. This license ends when you delete the User Content or your account, except to the extent the content has already been published to a Third-Party Platform (which remains subject to that platform's terms) or is retained as required for legal, backup, or audit purposes.

6.3 Responsibility for User Content

You are solely responsible for your User Content and the consequences of publishing it. You represent and warrant that:

  • You own or have all necessary rights, licenses, consents, and permissions to use and distribute the User Content.
  • Your User Content does not infringe or violate any third party's intellectual property, privacy, publicity, or other rights.
  • Your User Content complies with applicable laws and the policies of every Third-Party Platform to which it is published.

7. Acceptable Use Policy

When using the Service, you agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Post, schedule, or distribute content that is unlawful, hateful, harassing, defamatory, obscene, sexually explicit involving minors, violent, threatening, or that promotes discrimination.
  • Engage in spam, deceptive practices, misinformation, coordinated inauthentic behavior, or manipulate platform metrics (e.g., fake engagement).
  • Infringe the intellectual property, privacy, or publicity rights of others.
  • Upload or distribute malware, viruses, worms, or any harmful code.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise try to discover the source code of the Service, except to the extent permitted by applicable law.
  • Scrape, crawl, or harvest data from the Service or from any Third-Party Platform except as expressly permitted.
  • Use the Service to build a competing product or to benchmark it without our prior written consent.
  • Use the Service to publish political advertising in jurisdictions or on platforms where it is prohibited or requires additional authorization you have not obtained.
  • Bypass rate limits, quotas, or any technical restrictions imposed by us or by a Third-Party Platform.
  • Impersonate any person or entity, or misrepresent your affiliation.

We may investigate and take appropriate legal or technical action (including content removal, account suspension, or termination) against any suspected violation.

8. Fees, Billing, and Subscriptions

Certain features of the Service may be offered on a paid or subscription basis. If you purchase a paid plan:

  • You agree to pay all fees disclosed at the time of purchase in the currency specified.
  • Subscriptions renew automatically for successive billing periods unless cancelled before the renewal date.
  • Fees are non-refundable except where required by applicable law or where expressly stated in writing.
  • We may change our fees with reasonable prior notice; changes apply at the next renewal term.
  • Applicable taxes may be added to your invoice.

Failure to pay fees when due may result in suspension or termination of your access to paid features.

9. Third-Party Services and Advertising

The Service integrates with and depends on Third-Party Platforms and services. We do not control, are not responsible for, and make no warranties about Third-Party Platforms, their APIs, policies, or availability. Your use of any Third-Party Platform is governed by that platform's own terms and privacy policy.

If you use the Service to create, launch, or manage advertising campaigns, you are solely responsible for your ad content, targeting, budget, compliance with the advertising policies of each Third-Party Platform, and for any charges billed to you by those platforms. We are not a party to any agreement between you and an advertising platform.

10. Intellectual Property

The Service, including all software, designs, text, graphics, logos, trademarks, and other materials (excluding User Content), is owned by Social Schedule or its licensors and is protected by intellectual property and other laws. Except for the limited license in Section 5, nothing in these Terms grants you any right, title, or interest in the Service.

You may provide feedback, suggestions, or ideas about the Service ("Feedback"). You hereby assign to us all right, title, and interest in such Feedback, and we may use it without restriction or compensation.

11. Privacy

Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

12. Platform-Specific Terms

12.1 Meta (Facebook & Instagram)

When you connect a Facebook or Instagram account, you acknowledge and agree that:

  • You will comply with the Meta Terms of Service, the Community Standards, and all applicable advertising and commerce policies.
  • We only request the permissions necessary to provide the features you use, such as publishing posts to Pages you manage, reading page insights, and managing Instagram business content.
  • We do not sell data obtained from Meta, do not transfer it to data brokers, and do not use it for purposes that would violate the Meta Platform Terms or Limited Use requirements.
  • You may revoke our access at any time via your Facebook settings or by disconnecting the account in the Service.

12.2 TikTok

When you connect a TikTok account, you acknowledge and agree that:

  • You will comply with the TikTok Terms of Service and Community Guidelines.
  • We request only the scopes necessary to provide the features you use, and we use TikTok user data solely for purposes disclosed to you.
  • Analytics data we retrieve from TikTok is used only to display insights to you and is never sold or shared with third parties for advertising purposes.
  • You may revoke our access at any time through your TikTok settings or by disconnecting the account in the Service.

13. Suspension and Termination

You may terminate your account at any time by following the deletion instructions in your account settings or by contacting jomedeveloper@gmail.com.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms or any applicable law.
  • Your use of the Service creates a risk, security concern, or liability for us, other users, or Third-Party Platforms.
  • You have failed to pay fees when due.
  • We are required to do so by law, regulation, or request from a Third-Party Platform.

Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution) shall survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, Social Schedule disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, that posts will always be successfully published to Third-Party Platforms, that analytics will always be accurate or complete, or that defects will be corrected. You use the Service at your own risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOCIAL SCHEDULE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Social Scheduleand its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or any applicable law; (d) your violation of any rights of another; or (e) your violation of the terms of any Third-Party Platform.

17. Changes to the Service

We are constantly improving the Service. We may add, modify, or discontinue features at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the changes, you must stop using the Service.

19. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Social Schedule is established, without regard to its conflict of law principles. You and Social Schedule agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction to resolve any dispute, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

Nothing in this section limits any statutory rights you may have as a consumer in your country of residence.

20. Export Controls and Sanctions

You may not use, export, re-export, import, or transfer the Service except as authorized by U.S. law, the laws of the jurisdiction in which you obtained the Service, and any other applicable laws. In particular, the Service may not be used in or by residents of any country or by any person subject to U.S. economic sanctions or export restrictions.

21. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any additional terms agreed to in writing, constitute the entire agreement between you and Social Schedule regarding the Service.
  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure. We are not liable for any failure or delay in performance due to causes beyond our reasonable control.
  • No Agency. No joint venture, partnership, employment, or agency relationship exists between you and Social Schedule as a result of these Terms or your use of the Service.
  • Notices. We may provide notices to you via email, through the Service, or by posting on our website. You may send notices to us at the contact address below.
